3. Client Eligibility and Verification

Service fee shall not be calculated as a percentage of collections unless specifically compliant with Anti-Kickback Statute safe harbors and other applicable laws.
4.2 Payment Terms
- Invoices are issued according to the services agreement (typically monthly)
- Payment is due within 30 days of invoice receipt.
- Late payments are subject to 1.5 monthly interest (18% annually)
- Accuix RCM reserves the right to suspend services for non-payment after 60 days.
4.3 Additional Fees
Additional charges may apply for:
- Rush claim processing
- Expedited reporting
- Enhanced security features
- Professional consulting services
- Data migration and integration services
5. Client Obligations
5.1 Information Provision
The Client agrees to:
- Provide accurate, complete, and timely information necessary for service delivery
- Maintain current contact information and update as necessary
- Provide complete patient demographics, insurance, and clinical documentation.
- Ensure all information provided complies with HIPAA regulation
5.2 System Access and Security
The Client agrees to:
- Maintain secure login credentials and not share access with unauthorized users
- Report unauthorized access or security incidents immediately
- Implement appropriate access controls on their end
- Comply with Accuix RCM security requirements and protocols
5.3 Documentation and Compliance
The Client agrees to:
- Maintain complete and accurate medical records supporting all billed services
- Ensure documentation meets CPT/ICD-10 coding standards
- Comply with all applicable federal and state healthcare law
- Obtain and maintain required patient authorizations and consent
5.4 Legal Compliance
The Client represents and warrants:
- Not excluded from federal healthcare programs
- Compliant with Stark Law and Anti-Kickback Statute
- Not subject to any pending investigations or exclusions
- Operating in compliance with state and federal healthcare regulations
6. Intellectual Property Rights
6.1 Company Intellectual Property
All materials provided by Accuix RCM, including:
- * Website content, design, and functionality
- * Software, algorithms, and tools
- * Reports, analytics, and templates
- * Documentation and training materials
remain the exclusive property of Accuix RCM and are protected by copyright, trademark, and trade secret laws.
6.2 Client Intellectual Property
The Client retains all rights to:

8. Indemnification

The Client agrees to indemnify, defend, and hold harmless Accuix RCM from:
- Claims arising from Client’s use of services
- Inaccuracy of information provided by Client
- Client’s violation of applicable laws
- Patient disputes or complaints regarding billing accuracy
- Client’s breach of this Agreement or service agreement
- Claims related to Client’s medical services or treatment decisions
8.2 Accuix RCM Indemnification
Accuix RCM agrees to indemnify the Client from:

As a Business Associate under HIPAA, Accuix RCM is required to maintain a signed Business Associate Agreement with all Clients who are Covered Entities. The BAA is incorporated into and made part of these Terms and Conditions.

11.3 Termination by Accuix RCM
Accuix RCM may terminate services with 30 days’ written notice for:

- Client’s non-payment for 60+ days
- Client’s exclusion from federal healthcare programs
- Client’s violation of healthcare laws Accuix RCM’s business discontinuation
Client may terminate services with 30 days’ written notice for:
- Convenience (with possible early termination fees)
- Accuix RCM’s material breach
- Accuix RCM’s failure to remedy deficiencies within 30 days
11.5 Effect of Termination
Upon termination:

- Client remains responsible for fees through termination date
- * All outstanding invoices become immediately due
- * Accuix RCM returns or destroys PHI as directed

13. Representations and Warranties
13.1 Accuix RCM Representations
We represent and warrant:

- Secure, competent service delivery
13.2 Client Representations
Client represents and warrant:

- * Compliance with all applicable healthcare laws
- * Not excluded from federal healthcare programs
- * Proper authorization to share PHI with Accuix RCM
Except as expressly stated, Accuix RCM makes no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

- * Comply with HIPAA, HITECH Act, and related regulations
- * Report any compliance concerns or violations.

- Make good-faith efforts to resolve through mediation
- * Disputes may be resolved through binding arbitration or litigation
